A legal address is the "residence" of a company. In other words, it's a specific address where the company is registered. It doesn't necessarily have to coincide with the place where its operations are conducted. The primary function of a legal address, which is why this concept still exists, is to establish a connection with a specific administrative-territorial unit and, consequently, with the relevant regulatory bodies, especially tax authorities.
How significant is the legal address?
Certain remnants of past formalities have persisted. Despite the fact that providing an email address and company phone number has become a mandatory requirement for registration, some government agencies may still send traditional paper letters through the reliable Ukrposhta (Ukrainian Postal Service). Ukrposhta is also used for sending letters to certain government entities, often with recommended delivery notifications. Subsequently, these delivery notifications must find their way back somehow. Moreover, some companies still use Ukrposhta for exchanging documents related to service acceptance and completed work. As a result, having a system in place to receive Ukrposhta letters is crucial.
What should you do if you don't want to register your company at your own or any of the founders' apartments, and renting an office is neither cost-effective nor necessary?
The most optimal solution is to purchase a legal address with mail handling services. Ideally, this would include having your own mailbox and a contract with Ukrposhta. However, having a mailbox isn't a comprehensive solution, as some letters might arrive at the local postal office and need to be collected. If visiting the relevant postal office regularly, such as weekly, is inconvenient for you, it's advisable to have someone who will monitor your legal address, including receiving letters, delivery notifications, and more.
Where is the best location to choose a legal address?
In essence, selecting an address close to your location is often optimal. However, situations may arise where the legal address is in a different city. It's worth noting that major cities tend to have a higher number of taxpayers(including legal entities). Here, the chances of attracting focused attention from tax authorities and undergoing audits are lower. In smaller towns or localities where there aren't many companies, and especially in residential districts, where businesses are scarce, you might draw more attention. The same applies to different districts within a city. Some districts have a higher concentration of legal entities, while others are predominantly residential with fewer companies.
Address of mass registration
About a decade ago, this was critical for VAT payers, as being registered at such an address could easily result in losing the VAT status. Especially when a letter was sent and not received, causing it to be returned, the company's status would change to "not located at the registered address." Then, they would summon the company's leader for an interview, requesting documents confirming the use of the premises (rental or sublease agreements). In short, it was quite a challenge to prove that the company genuinely existed at that address. However, nowadays, this doesn't particularly impact anything.
