The process of creating a public organization begins with a founding meeting. During this meeting, all crucial decisions about the organization's future are made, ranging from choosing a name to defining its mission. However, simply holding a meeting is insufficient. It is also essential to accurately draft the minutes, approve, and sign a series of other documents that will need to be submitted to the state registrar.

How is a founding meeting conducted?

The approach depends on the number of founders involved. The minimum requirement is two individuals. When there are only two or three founders, formal meetings might not be necessary. Typically, foundational aspects are discussed in advance when the concept of establishing the organization is first conceived. Notably, there are no legislative specifications for the preparation and execution of the founding assembly, unlike general meetings of members (which applies once the organization is registered). The primary focus is on meticulously documenting the minutes. The guidelines for creating these minutes establish certain parameters for conducting the founding meeting.

Minutes of the founding meeting

While the naming of the organization is the central topic of discussion and decision during the founding meeting, the name should already be indicated in the heading of the minutes. Additionally, the date and location (including the locality) of the meeting are specified. The agenda holds considerable significance. A comprehensive list of information mandated in the minutes of the founding meeting is outlined in Article 9 of the "On Public Associations" law. Beyond the previously mentioned details, the minutes should also encompass the organization's goals and objectives, the approval of the statute, the election of leaders, and the establishment of governing bodies. An essential attachment to the minutes is a register of attendees, documenting their full names, birthdates, and individual signatures. The minutes are authenticated by the signatures of the chairperson and the meeting's secretary. The compiled minutes are then securely preserved.

What other aspects to address at the founding meeting?

Special attention should be dedicated to shaping the organization's management structure. Advance consideration is necessary for the membership framework (including the potential inclusion of regular members or associates), the nature of the executive body (whether it will operate as a collective or individual entity), and the potential establishment of supplementary administrative bodies, among other factors. For instance, if the decision is made to adopt a collective executive body, the appointment of individuals to these roles should be carried out during the founding meeting. So, it is advisable to have candidate profiles prepared in advance.
